1. Acceptance of Terms

By accessing or using Omniana (“the Service”), operated by Masamichi Souzou Ltd., you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Omniana is a personal life organisation platform that helps you track happiness, manage relationships, organise systems and inventory, and design your life intentionally. The Service includes web-based tools, data storage, analytics, and AI-powered insights.

3. Account Registration

To use Omniana, you must create an account using Google Authentication. You are responsible for maintaining the security of your account and for all activities that occur under it. You must be at least 16 years old to create an account.

You agree to provide accurate and complete information and to keep your account details up to date.

4. Subscription and Payments

Omniana offers both free and paid subscription plans. Paid subscriptions are billed on a monthly or yearly basis through Stripe.

• Payments are processed securely by Stripe. We do not store your full payment card details.
• Subscriptions renew automatically unless cancelled before the end of the current billing period.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Refunds are handled on a case-by-case basis. Contact us at hello@omniana.co for refund requests.

5. Your Content

You retain ownership of all data, text, images, and other content you submit to Omniana (“Your Content”). By using the Service, you grant us a limited licence to store, process, and display Your Content solely for the purpose of providing the Service to you.

You are responsible for the content you submit and must ensure it does not violate any applicable laws or third-party rights.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload malicious code, viruses, or harmful content
• Use the Service to harass, abuse, or harm others
• Reverse engineer, decompile, or disassemble any part of the Service

7. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Masamichi Souzou Ltd. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

8. AI-Generated Insights

Omniana may provide AI-generated insights, suggestions, and analytics based on your data. These are provided for informational purposes only and should not be relied upon as professional advice (medical, financial, legal, or otherwise). You use AI-generated features at your own discretion.

9. Service Availability

We strive to keep Omniana available at all times but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any downtime or service interruptions.

10. Termination

You may delete your account at any time. We may suspend or terminate your account if you breach these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

11. Limitation of Liability

To the maximum extent permitted by law, Masamichi Souzou Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

12. Your Statutory Rights

13. Indemnification

You agree to indemnify and hold harmless Masamichi Souzou Ltd., its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the non-exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also bring proceedings in the courts of your country of residence.
